AFFILIATE AGREEMENT

This Affiliate Agreement (“Agreement”) is entered into between:

(hereinafter referred to as the “Company”)
and
The registered affiliate partner (“Affiliate”).
By registering and participating in the Company’s affiliate program, the Affiliate agrees to be
bound by this Agreement.

1. PURPOSE
This Agreement governs the Affiliate’s participation in the Company’s affiliate program.
The Affiliate is authorized to promote the Company’s services in exchange for
commission-based compensation.

2. INDEPENDENT CONTRACTOR STATUS
The Affiliate acts as an independent contractor.
Nothing in this Agreement creates:
• employment
• partnership
• agency
• joint venture
The Affiliate has no authority to bind the Company.

3. COMMISSION STRUCTURE
The Affiliate may earn:
• First purchase commission
• Recurring commission (time-limited)
• Performance bonuses
Commission tiers are determined by the Company.
The Company reserves the right to:
• modify commission rates
• change tiers
• introduce new structures
at any time.

4. TRACKING AND ATTRIBUTION
Affiliate tracking is handled via third-party systems (e.g. Tapfiliate).
The Company is not responsible for:
• tracking errors
• cookie limitations
• attribution conflicts
• browser restrictions
Only verified conversions qualify for commissions.

5. COMMISSION ELIGIBILITY
Commissions are earned only if:
• a valid purchase occurs
• no refund is issued
• no fraud is detected
• compliance requirements are met
The Company may:
• delay commissions
• adjust commissions
• reject commissions

6. PROHIBITED ACTIVITIES
The Affiliate may NOT:
• make false or misleading claims
• promise profits
• impersonate the Company
• create fake landing pages
• run unauthorized ads
• spam or mislead users
• target restricted jurisdictions

7. FRAUD AND ABUSE
The Company may withhold commissions if:
• self-referrals occur
• fake traffic is generated
• bots or incentivized leads are used
• coordinated abuse is detected
The Company has sole discretion.

8. PAYOUTS
Affiliate payouts:
• handled outside the system
• subject to verification
• may be delayed or rejected
---
9. TERMINATION
The Company may terminate the Affiliate at any time.
Upon termination:
• commissions may be forfeited
• access is revoked

10. INTELLECTUAL PROPERTY
Affiliate may only use approved materials.
Unauthorized usage is prohibited.

11. LIMITATION OF LIABILITY
The Company is not liable for:
• lost commissions
• tracking issues
• business losses
---
12. MODIFICATIONS
The Company may update this Agreement at any time.

13. GOVERNING LAW
Applicable international and EU principles apply.
